A fiduciary relationship means that a partner has a responsibility to act for the profit of the other partners within the scope of the partnership. This relationship enforces a duty of loyalty which the parties can’t change in their partnership agreement. A partner has to inform the other partners earlier conducting any personal business with the partnership, can’t act in person on a chance offered to the partnership, and can’t contend on the partnership.
Partners must use rational care when conducting partnership business and could be held liable to the else partners for some damage made by their actions.
